Terms of Service

These Terms of Service (“Terms”) govern your access to and use of DealFast (the “Service”), provided by Quoqo, Inc. (“Quoqo”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

  • You must be at least 18 years old and legally able to enter into a contract.
  • You must provide accurate, current information when registering, and keep it up to date.
  • You are responsible for safeguarding your password and for any activity under your account.
  • You must notify us immediately at support@quoqotech.zohodesk.in if you suspect unauthorised access to your account.

2. Your content and data

You retain all rights, title, and interest in the documents, contracts, playbooks, and other content you upload, generate, or submit through the Service (“Customer Content”). You grant Quoqo a limited, worldwide, non-exclusive licence to host, store, transmit, and process your Customer Content solely to provide the Service to you.

You represent and warrant that you have the necessary rights to upload and use the Customer Content in DealFast, and that doing so does not violate any law, contract, or third-party right.

3. AI-generated outputs

DealFast uses large language models to produce analyses, comparisons, extractions, and other outputs based on your Customer Content (“AI Outputs”). You acknowledge that:

  • AI Outputs are generated by statistical models and may be incomplete, inaccurate, or out of date.
  • AI Outputs are not legal advice. You should review them, validate them, and apply your own professional judgement before relying on them.
  • Quoqo makes no warranty that AI Outputs are fit for any particular purpose.
  • You are responsible for any decision you make based on AI Outputs.

You may use AI Outputs freely, including for commercial purposes, subject to the rest of these Terms.

4. Acceptable use

You agree not to:

  • Upload content you do not have the right to upload, or that infringes another party's rights.
  • Use the Service to violate any law or regulation.
  • Attempt to reverse-engineer the Service, derive its source code, or build a competing product from it.
  • Probe, scan, or test the vulnerability of the Service except as expressly authorised in writing.
  • Interfere with or disrupt the Service or other users' use of it.
  • Use the Service to send unsolicited commercial communications.
  • Misrepresent your identity or affiliation, or impersonate another person or entity.
  • Upload material that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable.

5. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what information we collect and how we use it. By using the Service, you consent to the practices described there.

6. Subscriptions, fees, and billing

The Service is paid. There is no free tier and no trial period — you subscribe and start using it. When you subscribe:

  • You authorise us to charge your payment method on the billing cadence shown at checkout (monthly or annual).
  • Prices are exclusive of tax unless the order says otherwise. The billing currency and the contracting entity both follow your billing country.
  • Who you are contracting with. Customers billed in Indian rupees contract with and are invoiced by Quoqo Technologies (P) Ltd., which charges GST at the applicable rate against the GSTIN provided at checkout. Customers billed in any other currency contract with and are invoiced by Quoqo, Inc., and that supply is an export of services on which no Indian GST is charged; where local tax applies to you, you remain responsible for it.
  • Subscriptions renew automatically until you cancel. You can cancel at any time from your account settings.
  • If you cancel, we refund you. We refund the most recent charge on the plan you cancelled, and the money reaches you within one week of the cancellation. You do not have to give a reason and we do not ask you to negotiate with anyone first.
  • If a payment fails and is not corrected within seven days, we may suspend access to the Service until the balance is paid. There is no free tier to fall back to.

7. Service availability

We work to keep the Service available and reliable, but do not guarantee uninterrupted access. Scheduled maintenance, upstream provider outages, security incidents, and other events outside our control may cause interruptions. We will give reasonable notice of planned maintenance where possible.

8. Suspension and termination

  • You may stop using the Service at any time. You may delete your account from settings.
  • We may suspend or terminate your access if you breach these Terms, if your use of the Service threatens the integrity or security of the Service, or if we are required to do so by law.
  • On termination, your right to use the Service ends and we will delete your Customer Content in accordance with our Privacy Policy. You may request an export of your data before deletion.

9. Intellectual property

The Service, including all software, designs, trademarks, and documentation, is the property of Quoqo and its licensors. These Terms do not grant you any right in our intellectual property other than the right to use the Service as expressly permitted.

10. Confidentiality

Each party will protect the other's non-public information shared during the relationship using the same standard of care it uses to protect its own confidential information, and at least with reasonable care. Confidentiality obligations survive termination.

11. Disclaimers

The Service and all AI Outputs are provided “as is” and “as available”. To the maximum extent permitted by law, Quoqo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI Outputs.

Nothing in DealFast constitutes legal advice. The relationship between you and Quoqo is not an attorney-client relationship.

12. Limitation of liability

To the maximum extent permitted by law, Quoqo's aggregate liability arising out of or related to these Terms or the Service is limited to the amounts you paid to Quoqo in the twelve months preceding the event giving rise to the claim. In no event will Quoqo be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost revenue, or lost data.

13. Indemnification

You will defend and indemnify Quoqo from any third-party claim arising out of (a) your Customer Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any applicable law.

14. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts located in Bengaluru, Karnataka, India have exclusive jurisdiction over any dispute arising out of or related to these Terms. We will offer enterprise customers the option of an alternative governing-law clause in a signed Order Form.

15. Changes to the Terms

We may update these Terms from time to time. Where the change is material, we will give you reasonable notice by email and / or in-app notification. Continued use of the Service after the effective date of the change means you accept the new Terms.
